DISTWE Terms of Service

These Terms of Service govern access to and use of DISTWE, including the DISTWE website, application, workspaces, onboarding, support, and related services.

Acceptance of Terms

By accessing or using DISTWE, creating or using an account, submitting information, requesting a demonstration, joining the waiting list, accepting an invitation, or otherwise using the service, you agree to these Terms of Service.

If you use DISTWE on behalf of a company or other organisation, you represent that you have authority to bind that organisation to these Terms. If you do not agree to these Terms, you must not access or use DISTWE.

Description of Service

DISTWE is an operations platform for food distribution, warehouse, wholesale, and related businesses. The service may support inventory and warehouse operations, supplier and purchasing workflows, stock receiving, batch and expiry tracking, customer management, sales and distribution, compliance and food safety records, payroll and workforce coordination, PAYG, BAS, superannuation visibility, tax health, reporting, dashboards, and role-based workspace administration.

DISTWE is provided as a business operations tool. Features may be added, changed, limited, or removed as the platform develops and as customer onboarding, compliance, infrastructure, or product requirements evolve.

User Accounts

Users may be required to create an account or accept an invitation to access a DISTWE workspace. Users must provide accurate account information, keep login credentials secure, and promptly notify DISTWE or the relevant workspace administrator of suspected unauthorised access.

Customers are responsible for managing their users, invitations, roles, access permissions, and workspace configuration. Activity performed through a user account may be treated as activity authorised by the customer or account holder.

Authorized Access

You may access DISTWE only through authorised accounts, invitations, credentials, and interfaces provided or approved by DISTWE. You must not access, attempt to access, test, scan, interfere with, or use any account, workspace, system, database, network, or data that you are not authorised to access.

You must not bypass security controls, misuse permissions, share credentials improperly, or use DISTWE in a way that compromises another customer, user, workspace, or the platform.

Customer Responsibilities

Customers are responsible for their business operations, workspace setup, data entry, user management, internal approvals, operational decisions, compliance processes, record review, and use of outputs generated or displayed by DISTWE.

Customers must ensure that their use of DISTWE complies with applicable laws, regulations, industry obligations, employment obligations, food safety requirements, tax obligations, privacy obligations, accounting requirements, and internal policies.

Professional Judgment and Compliance Responsibility

DISTWE provides operational visibility, workflow support, reporting, and tools to assist business administration. DISTWE does not replace professional judgment, legal advice, accounting advice, tax advice, payroll advice, food safety advice, compliance advice, or professional business review.

Customers remain responsible for reviewing information, validating outputs, making decisions, obtaining professional advice where appropriate, and ensuring that filings, payments, payroll, tax, food safety, employment, and compliance actions are accurate, timely, and lawful.

Customer Data Responsibility

Customers are responsible for the data, records, files, and information they enter into DISTWE, including their legality, accuracy, quality, completeness, permissions, and suitability for use.

Customers must not enter information into DISTWE unless they have the rights, authority, notices, permissions, and lawful basis required to collect, use, store, disclose, and process that information.

Data Accuracy and Compliance Responsibilities

DISTWE may display calculations, summaries, alerts, reports, dashboards, compliance indicators, tax visibility, stock values, payroll-related information, or operational insights based on information entered by customers and users.

Outputs depend on the accuracy, completeness, configuration, timing, and quality of customer data. Customers are responsible for verifying information before relying on it and for correcting inaccurate, incomplete, or outdated records. DISTWE is not responsible for errors caused by inaccurate data entry, incorrect configuration, missing records, customer misuse, or failure to review outputs.

Acceptable Use

You must not use DISTWE for unlawful, harmful, fraudulent, misleading, abusive, infringing, or unauthorised purposes. You must not upload malicious code, interfere with the service, overload infrastructure, reverse engineer the platform except where prohibited by law, scrape data, compromise security, or use DISTWE to harm DISTWE, customers, users, suppliers, employees, or third parties.

You must not use DISTWE to store or transmit information that you are not authorised to use, information that violates law or third-party rights, or content that is defamatory, discriminatory, harassing, obscene, or otherwise inappropriate for a business operations platform.

Service Availability

DISTWE aims to provide a reliable service, but availability may be affected by maintenance, updates, infrastructure issues, internet outages, third-party services, security events, operational constraints, or circumstances beyond DISTWE’s control.

DISTWE does not guarantee uninterrupted, error-free, or delay-free operation. DISTWE may suspend, limit, or modify access where reasonably necessary for maintenance, security, legal compliance, support, billing, onboarding, or platform integrity.

Force Majeure

DISTWE will not be liable for delay, failure, interruption, loss, or damage caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labour disputes, epidemics, pandemics, utility failures, internet or telecommunications failures, cloud provider failures, cyberattacks, government actions, legal restrictions, or other force majeure events.

Intellectual Property

DISTWE, including the platform, website, software, design, workflows, interfaces, branding, content, documentation, and related materials, is owned by DISTWE or its licensors and is protected by intellectual property laws.

Except for the limited right to access and use DISTWE in accordance with these Terms, no rights are transferred to customers or users. Customers retain ownership of their customer data, subject to the rights granted to DISTWE to provide, secure, maintain, support, and improve the service.

Account Suspension, Termination, and Data Retention

DISTWE may suspend or terminate access to the service if a customer or user breaches these Terms, creates security or legal risk, fails to pay applicable fees, misuses the service, infringes rights, or uses DISTWE in a way that may harm the platform, DISTWE, customers, users, or third parties.

Following suspension or termination, access to accounts, workspaces, and data may be limited or removed. DISTWE may retain information as reasonably necessary for legal, tax, accounting, audit, dispute resolution, security, backup, and legitimate business purposes, and may delete or de-identify information when it is no longer required.

Customer Indemnity

To the extent permitted by law, customers agree to indemnify and hold DISTWE harmless from claims, losses, liabilities, damages, costs, and expenses arising from customer data, customer operations, user activity, breach of these Terms, unlawful use of the service, inaccurate or unauthorised data, compliance failures, or infringement of third-party rights caused by the customer or its users.

Limitation of Liability

To the maximum extent permitted by law, DISTWE will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, loss of profits, loss of revenue, loss of goodwill, loss of business opportunity, loss of data, business interruption, or compliance consequences arising from or relating to the service.

To the maximum extent permitted by law, DISTWE’s total liability for claims relating to the service will be limited to the amount paid by the customer to DISTWE for the service during the period giving rise to the claim, or another amount required by applicable law. Nothing in these Terms excludes liability that cannot legally be excluded.

Governing Law

These Terms are governed by the laws applicable in Australia, unless a different governing law is expressly agreed in writing by DISTWE. Customers and users agree to submit to the courts with jurisdiction over disputes relating to these Terms, subject to any mandatory rights under applicable law.

Changes to the Service

DISTWE may update, modify, improve, limit, replace, or discontinue parts of the service, including features, modules, pricing, onboarding processes, availability, integrations, and user experience.

DISTWE may also update these Terms from time to time. Updated Terms will be made available through the DISTWE website or platform. Continued use of DISTWE after an update means you accept the updated Terms.
